Explanation of Responses:
1. The Pre-Funded Warrant has no expiration date and is exercisable immediately. Prior to the Issuer obtaining stockholder approval under applicable Nasdaq rules and regulations in connection with the Issuer's private placement pursuant to which the Pre-Funded Warrants were issued ("Stockholder Approval"), the Pre-Funded Warrants are only exercisable for shares of Series A-1 non-voting convertible preferred stock. Following the Issuer's receipt of Stockholder Approval, the Pre-Funded Warrants are only exercisable for shares of the Issuer's common stock.
2. Each share of Series A-1 non-voting convertible preferred stock is convertible automatically upon receipt of Stockholder Approval into a number of shares of the Issuer's common stock equal to $1,000 divided by $11.20, pursuant to the terms of the Series A-1 Certificate of Designation and subject to applicable beneficial ownership limitations.

US-DOCS\176018885.1 POWER OF ATTORNEY Know all by these presents, that the undersigned hereby constitutes and appoints each of (i) the Chief Financial Officer of Gossamer Bio, Inc., a Delaware corporation (the “Company”), who is currently Bryan Giraudo, (ii) the Company’s General Counsel, who is currently Christian Waage, and (iii) the Company’s Controller, if any, and their respective successors, signing singly, with full power of substitution and resubstitution, as the undersigned’s true and lawful attorney-in-fact to: (1) execute for and on behalf of the undersigned, in the undersigned’s capacity as an officer and/or director of the Company, (a) Schedules 13D and 13G in accordance with Section 13 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and the rules thereunder, (b) Forms 3, 4 and 5 (including amendments thereto) in accordance with Section 16(a) of the Exchange Act and the rules and regulations thereunder and (c) Notices of Proposed Sale of Securities Pursuant to Rule 144 (“Form 144”), in accordance with the requirements of Rule 144 under the Securities Act of 1933, as amended (the “Securities Act”); (2) do and perform any and all acts for and on behalf of the undersigned which may be necessary or desirable to complete and execute any such Schedule 13D, Schedule 13G, Forms 3, 4, 5 or 144, or any amendment thereto, and timely file such forms (including amendments thereto) and application with the United States Securities and Exchange Commission and any stock exchange or similar authority; and (3) take any other action of any type whatsoever in connection with the foregoing which, in the opinion of such attorney-in-fact, may be of benefit to, in the best interest of, or legally required by, the undersigned, it being understood that the documents executed by such attorney-in-fact on behalf of the undersigned pursuant to this Power of Attorney shall be in such form and shall contain such terms and conditions as such attorney-in- fact may approve in such attorney-in-fact’s discretion.
